When deals are negotiated across borders, and in a world in which companies attempt projects in jurisdictions far from headquarters, commercial and legal issues are often not the only obstacles to overcome. If parties to a transaction are from different cultures and have to accommodate the requirements of different corporate cultures, the ideas of how to come to and execute an agreement on a complex project can vary greatly, sometimes resulting in roadblocks and disputes. In such situations, deal lawyers cannot restrict themselves to legal counselling but must rise to bridging cultural gaps. The panelists, representing major economies from different parts of the world and cultures, seek to explore typical issues as well as strategies for mastering them.

Anselm Christiansen

Anselm is a M&A partner at Gleiss Lutz, one of the leading independent law firms in Germany, and a member of the firm’s Asia practice. Anselm specializes in cross-border M&A transactions with a focus on EU inbound transactions by investors from China, Korea, Japan and other parts of Asia. In addition, Anselm advises German companies on their investments in Asia. During his legal training, Anselm worked in different parts of Asia.

Matt Komatsu

Matt Takeshi Komatsu is a co-representative partner at Mori Hamada & Matsumoto (Singapore) LLP. He focuses his practice on cross-border M&A, formation of joint ventures and corporate law across Asia. After studying in the US, he was seconded to the Civil Affairs Bureau of the Ministry of Justice, where he worked on amendments to the Companies Act of Japan and researched corporate law in various jurisdictions. His expertise in corporate law enables him to advise on a wide-range of corporate governance issues involving Asian companies and to handle M&A transactions in multiple jurisdictions.

Ying Zhang

Professional Experience
Ms. Zhang has over 20 years of experience practicing Chinese law, focusing on M&As, joint ventures, general corporate matters and various commercial transactions. Since joining JunHe, Ms. Zhang has been involved in a number of high-profile cross-border M&A deals (both inbound and outbound) and joint venture transactions in various industrial sectors. She has also advised a number of clients on general corporate matters and has been involved in various types of commercial transactions.

Ms. Zhang was seconded to work with the legal department of Itochu Corporation in Tokyo, Japan (2004), and Wachtell, Lipton, Rosen & Katz in New York City (2011).

Before joining JunHe, Ms. Zhang worked with the legal department of a national financial institution in China.

Ms. Zhang is a frequent speaker on Chinese law issues at international and national conferences.

Tracy Ngochua

Patricia Ngochua is a senior partner at Tayag Ngochua & Chu (TNC), a Philippine law firm that provides a full range of corporate and commercial legal advisory services, with a strong mergers and acquisitions and antitrust practice. Prior to founding TNC in 2022, Patricia was a partner at a leading Philippine law firm.

Patricia Ngochua’s practice focuses on general corporate matters as well as the more specialized areas in corporate law. She has been involved in securities, capital markets, corporate restructuring, mergers and acquisitions, foreign investments, energy and infrastructure projects, mining, telecommunications, real estate, and FinTech related transactions. She has advised and represented several publicly-listed companies, multinational firms, financial institutions, domestic and foreign investors in these practice areas.

She was admitted to the Philippine Bar in 2008 and to the New York State Bar in 2014.
